Terms of Service

1. Agreement to Terms

By accessing ogmadev.com or purchasing any service from OGMA Development LLC ("Ogma", "we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

Ogma provides subscription-based frontend development services. Specific deliverables, timelines, and scope are defined in the Discovery Sprint or agreed upon at the start of each subscription period.

We reserve the right to modify, suspend, or discontinue any service with reasonable notice. We will not be liable if, for any reason, all or any part of a service is unavailable at any time.

3. Payment & Subscriptions

• All payments are processed by Stripe. By subscribing, you authorize Stripe to charge the stated amount on the agreed billing cycle.
• Discovery Sprint fees ($5,000) are one-time and credited toward month 1 of a subscription if you continue.
• Subscription plans (A Player, A Plus Player) are billed monthly. You may pause or cancel at any time with at least 5 business days' notice before your next billing date.
• All fees are in USD and are non-refundable except as described in the 14-Day Satisfaction Guarantee below.

4. 14-Day Satisfaction Guarantee

If you are not satisfied with the quality, speed, or communication of our service within the first 14 days of a new subscription, contact us at info@ogmadev.com and we will issue a full refund of that month's subscription fee. This guarantee applies once per client, on the first subscription month only.

5. Client Responsibilities

To receive the agreed services, you agree to:

• Provide timely access to necessary repositories, environments, and tools
• Designate a point of contact for async communication
• Respond to questions or review requests within a reasonable timeframe
• Not request work that infringes on third-party intellectual property, violates laws, or violates platform terms of service

6. Intellectual Property

Upon full payment, all code and deliverables produced by Ogma exclusively for your project become your property. Ogma retains the right to reference the engagement as a case study (without sharing proprietary code) unless you request otherwise in writing.

Pre-existing code, open-source libraries, and internal tooling used by Ogma remain Ogma's property or are subject to their respective open-source licenses.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This includes your product roadmap, technical architecture, and business data. We will not disclose your confidential information to third parties without your consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Ogma's total liability for any claim arising out of or relating to these terms shall not exceed the fees paid by you in the three months preceding the claim. Ogma is not liable for indirect, incidental, or consequential damages.

9. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Texas.

10. Changes to Terms

We reserve the right to update these Terms of Service. Active clients will be notified of material changes at least 14 days in advance via email. Continued use of our services constitutes acceptance of the revised terms.
